General Terms and Conditions of Sky Handling GmbH

I. Conclusion of the Agreement

Sky Handling GmbH (hereinafter referred to as Sky Handling) organises for the client any given third-party services that are concretely laid out in the specific order in connection with air traffic rights and ground handling. In particular, Sky Handling acts as the client’s agent when dealing with any authorities and private bodies for the granting of fly-over and landing rights.

The conclusion of the brokerage agreement is legally binding in that Sky Handling sends the client an invoice for the desired range of services (bid) which the client accepts by effecting payment of the invoice amount either per wire transfer or by submitting a signed credit card form (acceptance).

If the client cancels the credit card payment after the agreement has been concluded and the ser-vices have been provided by Sky Handling or if it disputes the charges to the credit card, a pro-cessing fee of 10% of the total invoice amount will be paid to Sky Handling.

II. Contractual obligations of Sky Handling

Upon conclusion of the agreement, Sky Handling undertakes to perform the services described in the invoice, in particular to, on behalf of the client, file any applications required to fulfil this bro-kerage agreement, carry out the necessary transactions, issue the requisite statements and sub-mit any necessary documents.

III. Contractual obligations of the client

The client undertakes to pay the agreed amount or the arranged fees according to the respective brokerage agreement to Sky Handling by the due date.

Furthermore, the client undertakes to make available, in full and without being requested to do so, all documents necessary for the completion of the order before the services laid down in the agreement are carried out. In particular this includes:

- Aircraft Operator Certificate

- Certificate of Airworthiness

- Certificate of Registration

- Noise Certificate

- Aircraft Insurance

The client also undertakes to provide in full and without being requested to do so, before the ser-vices laid down in the agreement are carried out, any necessary information pertaining to the flight. This includes any information on the causes of impediments or complications such as re-fusal of entry, obligations or bans, as well as any health-related issues such as allergies, diseases or infirmity, or any other relevant circumstances.

IV. Power of attorney for Sky Handling to conclude agreements

Sky Handling is authorised to conclude agreements with the respective service provider on behalf of the client and to arrange binding orders, if and insofar as it is authorised to do so by the client and/or it is necessary for the completion of the order.

V. Inclusion of the GTC of the service provider

Upon conclusion of an agreement between the client and the respective provider of the arranged services (ground services providers, caterers, hotel operators, companies or authorities), only the provisions included in such agreements, in particular its terms and conditions as well as any legal regulations shall apply. The client therefore indemnifies Sky Handling against any liability that could result from the inclusion of any GTCs that present a disadvantage to the client.

VI. Selection of services and service provider

In accordance with the client’s order, otherwise in accordance with the underlying or anticipated purpose of the agreement, Sky Handling is authorised to use its own professional discretion in selecting service providers and the services to be ordered.

Sky Handling is not liable for the services rendered by the service provider, neither with regard to “whether”, nor to “how” or “when” the services are provided. This applies, in particular, if the client has itself selected a specific service provider upon placing the order. Sky Handling is liable only for its dutiful selection of the service provider, in particular upon commissioning the order, regardless of any known or recognizable unreliability of the service provider as measured by random testing.

Sky Handling is authorised to modify the client’s transaction if it the circumstances give it cause to assume that the client would approve the modification. This only applies in cases in which it is not possible for Sky Handling to inform the client in advance of the modification and to request its opinion on the matter. Sky Handling must inform the client before any modification to the transaction is made and must wait for its instructions in this respect, unless the delay caused by procuring such instructions endangers or renders impossible the commissioning of the brokerage order placed by the client.

VII. No duty to advise or duty of disclosure

Sky Handling has no contractual obligation to advise the client on its selection of the services to be rendered or the service provider, or to supply information on the range or quality of services rendered by the service provider.

If there is any information to be made available within the scope of the performance of the agree-ment, Sky Handling is liable only for the selection of the source of such information and its correct disclosure to the client pursuant to the legal regulations and contractual agreements. This applies to disclosing fly-over and landing rights.

An agreement on advice or information with a contractual obligation only becomes legally binding by way of a corresponding explicit agreement.

VIII. Reimbursement of expenses

Sky Handling may request reimbursement of the expenses and expenditures made for the broker-age of services as these are agreed upon or as it deemed them necessary in the given situation. The invoice constitutes the basis for reimbursement.

IX. Prices, price lists and due dates for fees

The prices are determined according to the provisions agreed upon in each respective invoice, otherwise according to the valid price list in its current version.

The valid price list in its current version can be viewed at the offices of Sky Handling and will be made available to clients per email or fax upon request.

If no fee has been agreed upon for a given service and it is not determined according to the price list, Sky Handling may request a brokerage fee of 10% of the costs of commissioned services.

The fees for the brokerage of services are due immediately after issue of the invoice. This also applies in the case of withdrawal or cancellation of the services ordered.

X. Cancelation of a transaction

Any transaction based on these GTCs is legally binding.

In the event that the services offered are not utilised, Sky Handling will not insist on fulfilment of the agreement. In such cases, the client must only pay the costs already incurred as a result of a confirmed transaction as well as, if applicable, Sky Handling’s corresponding commission.

There are no additional cancelation fees.

XI. Authorisation to receive payment and conduct transactions

Sky Handling is authorised to transfer any monies received from the client to the respective ser-vice provider according to the order, if this is necessary to carry out the principle agreement be-tween the client and the respective service provider. In such cases, Sky Handling acts in the name of and on behalf of the client.

XII. Due date of invoices from the service provider

Sky Handling is not obliged to adhere to a specific set time period for payment of orders for ser-vices. In principle, invoices from the respective service provider are to be paid immediately, if ap-plicable before the services have been rendered, and can be settled by Sky Handling upon be-coming payable.

XIII. Controlling of agreements, duty to cooperate of the client

Both the client as well as Sky Handling is obligated to inspect the contractual documents of each respective service provider, insofar as these have been made available to the client, with regard to their accuracy and completeness, in particular whether to whether it tallies with the transaction.

XIV. Validity of airplane logs for performance of services

The airplane log signed by the pilot is considered as accurate with regard to the confirmed perfor-mance of services, unless one of the contractual parties can prove the inaccuracy of the log.

XV. Liability of Sky Handling

Insofar as Sky Handling has not assumed a corresponding contractual obligation with the client by explicit agreement, it is not liable for the conclusion of the principle agreement between the client and the respective service provider.

Sky Handling assumes no liability for any breach of contract by the respective service provider.

A liability on the part of Sky Handling for slight negligence is excluded. This also applies to any liability for acting as a vicarious agent.

A liability for gross negligence is limited to a maximum of 15 times the amount of Sky Handling’s remuneration claim from the respective agreement.

In cases of force majeure, Sky Handling is indemnified against any liability. Force majeure is any occurrence beyond the control of the respective contractual parties or service provider, which completely or partially impedes it, either permanently or temporarily, from fulfilling its obligations. This includes, in particular, bureaucratic arbitrariness, political unrest or war-like disputes, damag-es due to fire, ice, water, earthquakes or any other environmental disaster, and nuclear or chemi-cal accidents or attacks. Any crimes (in particular, robberies and hijackings), accidents without fault, strikes and legal lockouts as well as unforeseeable production disturbances also fall under force majeure.

The liability disclaimer does not apply for injury to life and limb insofar as such injury is a result of culpable or attributable behaviour on the part of Sky Handling.

XVI. Statute of limitations

All claims from the brokerage agreement have a statute of limitations of 12 months.

The statute of limitations begins when the claim is issued, however, not before the party making the claim has become aware of the facts upon which the claim is based.

Any liability due to deliberate or grossly negligent breach of duty as well as the liability for injury to life and limb, insofar as such injury is a result of culpable or attributable behaviour, remains unaffected by the abbreviated statute of limitations. In such cases, the respective legal period of limitation and the legally stipulated beginning of this period apply.

XVII. Governing law

The governing law is that of the Federal Republic of Germany

Insofar as the client cannot invoke the legal regulations on consumer protection, the legal venue according to this agreement is the location of Sky Handling’s main offices. The exclusive venue and place of jurisdiction for all disputes stemming from this agreement and relating to bills of ex-change and cheques is in this case the location of Sky Handling’s main offices.

XVIII. Safeguarding Clause

If one or more provisions of this agreement are declared to be or become partly or fully void, or if there are any omissions to this agreement, this shall not affect the validity of the remaining content of the agreement.
